Any breach of the contractual or legal obligations of the members of the Board of Directors entails a rise in civil and criminal responsibility for the intervention of the law in regulating the protection of the interests. The members of the Board of Directors shall be asked in case of violation of their duties and their injury to the company or to the shareholder or the other. Therefore, the laws allowed for the prosecution of these affected parties for the purpose of seeking compensation for the damage caused to them by the mistakes of the members of the Board of Directors based on the fact that the person who caused the damage is legally required to repair the damage. This responsibility may be civil, whether contractual or statutory and in order to understand the responsibility of the members of the Board of Directors, it is necessary to clarify the legal status and characteristics of the members of the Board of Directors.
