碩士 === 國防管理學院 === 資源管理研究所 === 84 === 　　Since China Airlines signed industrial cooperation agreements with three American companies- Boeing, Mcdonnel Douglas and Pratt & Whitney in 1988 the offset of purchasing ten airplanes and their engines, R. O. C. has accumulated mass offset credits because of those major government and defense purchases. In August, 1993, R. O. C. established "Industrial Cooperation Steering Committee Office" to trigger all kinds of organizations and fulfill their operations. It was the time that R. O .C. formally entered the age of offset for R. O. C. attempted to import high technolegy by offset. This thesis focuses both on the process of offset and on those key factors of its results. 　　 Based on the theories of negotiation, institutionalism economics and countertrade, this thesis analyzes the interactions of mutual parties and examines the standpoints of offset suppliers and offset demmanders. In this thesis, transaction managerment machanism is provided to solve theproblems resulted from offset.
