This research attempts to investigate strategic contents of organizational knowledge system, cross- border transfer and absorption processes, contingent factors affecting outcomes of this process in the context of wholesaler club business. Based on three streams of existing theories, i. e., resources-based theory of firms, technology transfer, organizational learning, and extensive field works which based on two joint ventures in Taiwan, this study offers a comprehensive framework with detail accompanying propositions on cross-border transfer of knowledge system. Within this framework, we pinpoints several factors that are critical to the process of knowledge transfer from headquarters to subsidiaries. They are cross-culture and industry environment, international strategy of host company, managerial environment of subsidiaries, the nature of knowledge (professional degree), and competitors. Meanwhile, we highlights two dilemmas that are intriguing to the management of international knowledge transfer and absorption process. One is the dilemma between the need of knowledge localization and the completeness of knowledge transfer. The other is the need of transfer efficiency and the risk of knowledge spill-over.
