This study attempted to examine the relationship between corporate properties and corporate illegal behavior, and to identity the causes of corporate illegal behavior in Taiwan from the perspective of the top management team''s characteristics. The sample is consisted of 115 Taiwan listing firms, which committed at least an illegal act during the period 1994-99, but excludes the firms in banking and insurers industry. This study used the Logit Regression Model to analyze the data, and has the empirical evidences as follows: 1. The evidence indicates that there is a negative relationship between corporate illegal behavior and firm size. 2. The possibility of illegal act will be increased when the firm has moderate slack. 3. Where deviance is the norm or the organizational culture, the possibility of illegal act will be increased when the top management team''s age is increased. 4.
