As the world economy turns internationalized and liberalized, privatization has become a trend of the economic development. However, most of the SOEs’ employees did resist the organization changes due to their worries to the uncertain future. This study adopts the case analysis method and is an empirical study followed by the implementation. The employees in Aero Industrial Development Corporation (AIDC) are chosen as the subjects, for the company has been under the discussion for its privatization, to explore the correlation between personal achievement motive, job satisfaction and organizational culture and the employees’ attitude toward the change. This study adopted a multi-dimensional research framework that contains related predictors from individual level, working level and organizational level. The predictors include individual achievement motive, job satisfaction and organizational cultures. In addition, the recognition toward changes of privatization, the union recognition, company commitment and union commitment are also added as the intermediates. Through the data collection, processes of dimension selection, questionnaire design, sample selection, investigation, reliability analysis, descriptive statistics analysis, Pearson analysis, ANOVA, Scheffe’s methods, step multi-regression analysis and path analysis to study the predictive model of the employees’ attitude toward the organizational changes in the privatization process, this study presents 7 major findings: 1、There is a significant attitude difference toward privatization between ages, marital status, work seniority and positions and levels of salary. 2、There is a significant positive correlation between the employees’ achievement motive and their attitude toward privatization. 3、There is a significant positive correlation between the job satisfaction in terms of “transfer and promotion” and the attitude toward the change. 4、There is no significant difference between the organizational culture and the employees’ attitude. 5、There is a significant positive correlation between the employees’ recognition of privatization and their attitude. 6、Achievement motive and job satisfaction, being affected by “Recognition towards the change” are significant intermediates. 7、The “employees’ privilege and benefits” of recognition is the best predictor to the employees’ support toward the change.
