In practice, public companies generally mean numerous shareholders sharing the interest of corporation; thus, modern corporate theory emphasizes segregation of shareholders and management. A corporation normally hires professional management to handle management decisions. Therefore, the owner’s control corporation gradually transforms to management control type of corporation. In order to prevent management from abusing its decisions, the institutional arrangement must be able to increase the accountability of management thus promote efficiency and effectiveness of management. A good design of corporate governance could substantially create firm’s value. This thesis considers the relationship between firm’s value and corporate governance to evaluate the effectiveness of current design of independent director from the SFC(Securities and Futures Commission).
