Summary:碩士 === 明志技術學院 === 工程管理研究所 === 92 === Many local and international well-known enterprises have engaged in fraudulence events, such as Enron and WorldCom’s bankruptcy, since the Asian financial crisis in 1997. These things gave rise to violate business ethics behavior of agency conflict and improper control of the board of directors. Therefore, how to reinforce the corporate governance mechanisms have been extreme important issues in managerial topics recently. Dating from the previous literatures about the board of director, the amount of discussions was focused on the prospects of institutional theory, resource dependence, and agency theory. Only a few researches from ethical climate viewpoint explored the control pattern of the board of director. In view of it, two research questions were discussed:(1). What is the relationship between ethical climate type and corporate control pattern?(2). Whether organization structure will intervene the relationship between ethical climate type and corporate control pattern or not? In order to reply above questions, this study, using binary logistic regression, adopts a sample of 592 workers from 60 various firms to examine. The empirical results showed as below: (1).In contrast to manager control, the more egoism ethics climate was, the more owner-control pattern was; (2).In contrast to manager control, the more the principle-oriented ethics climate was, the less the owner-control pattern was; (3). In contrast to manager control, the more the benevolent ethics climate was, the more owner-control pattern was; (4). No significant relationship was found that organizational structure might intervene the relationship between business ethics climate and corporation control pattern.
