With financial and environmental change, banking industry in Taiwan is facing various problems, such as overbanking, high homogeneity among banking products, comparatively small size of bank and slow loan growth. These problems make bank management more difficult, and also contribute to high overdue loan rate. In order to survive, “change” is the best policy. A number of banks have transformed themselves into financial holding companies, through which the financial sectors can develop in the dimensions of diversity and enlargement. Hence, the distinctions among bank, stock company, and insurance company are going to decline. A financial holding company is able to run cross-industrial business and facilitate rapid development of financial products to reach both conomies of scale and economies of scope in enterprise.   The financial sectors in Taiwan are undergoing combination and consolidation between those inside or outside the industry, and advancing to take a strategic position for globalization. In such a competitive market, to increase competence and occupation rate, concepts of “client first” and “professional service” need to be introduced into their service. In the future, the field of financial competition will also extend from domestic sectors to foreign financial groups.   Following such a financial trend, First Commercial Bank (FCB) establishes First Financial Holding Corporation (FFHC). Since FFHC’s 88% of profit margin is from its banks, the performance of First Commercial Bank directly affect the development of the whole group in the future. This study conducted an in-depth exploration on advantages and disadvantages for the establishment of financial holding company and on theory of business strategy. In addition, a case interview method was used to analyze the competitive strategies FCB adopted. Ultimately, the effects of organization change program FCB designed were also discussed.
