It raised a agitation of discussing corporate governance in the world. Afterwards, Procomp Informatics LTD and Infordisc corporation corruptions were disclosed in Taiwan. From then on, the corporate governance researches published one after another. To integrate the past researches it can find that researchers used micro way to discuss corporate governance mechanism. The main targets of researches are focus on TSEC/GTSM Listed Companies and the researchers except the Small and Medium Scale Enterprises as corporate governance samples. Therefore, this research try to use macro way to discuss the possibility of Small and Medium Scale Enterprises practice corporate governance. At the same time this research take “Corporate Governance Best Practice Principles for TSEC/GTSM Listed Companies” as a sample which was made by Taiwan Stock Exchange corporation and Gre Tai Securities Market in order to discuss the practice degree of Small and Medium Scale Enterprises in “the responsibility of the board of directors,” “to protect the rights of shareholders,” “to protect the rights of stakeholders, ” “enhance the functions of supervisor,” and “enhance information transparency” these five corporate governance dimensions, and with discussing the organization performance in order to realize the relationships between corporate governance mechanism and organization performance. This research selects Small and Medium Scale Enterprises as main research samples and big-sized companies as a control group. This research set high-level administrators ,financial & accounting administrators and special assistant of CEO as the targets of questionnaire, 1000 questionnaires were sent out and recover 152 questionnaires, researcher deduct nullify 11 questionnaires, this research recover 141 effective questionnaires. The effective recover rate is 14.1%. After analyzing 141 effective questionnaires, this research finds the results the follows, Ⅰ.Different scale enterprises in practicing corporate governance mechanism are different. Ⅱ.The corporate governance mechanism of Small and Medium Scale Enterprises can predict organization performance. Ⅲ.The importance cognition of administrator’s corporate governance mechanism attitude is higher than corporate governance mechanism practice degree of enterprises. Ⅳ.The difficult sectors of Small and Medium Scale Enterprises practice corporate governance are “the policy shouldn’t interfere by family shareholders and institutions,” “to set audit and salary committee,” ”the rights of business owners and the rights of management should be separate,” and “to engage independent directors in the board.” Ⅴ.The difficult sectors of big-sized scale enterprises practice corporate governance are “the policy shouldn’t interfere by family shareholders and institutions,” ”the rights of business owners and the rights of management should be separate,” and “to engage independent directors in the board.” Chen-Fong Wu 吳成豐 2005/06/ 學位論文 ; thesis 95 zh-TW
