The present State-owned system has difficulties in managing freely and grasping business opportunities, which makes the State-owned enterprises uneasy to compete with the privately operated finance industry. Now First Bank, Zhang-hue Bank, Taiwan Enterprise Bank, Agricultural Bank, Communication Bank and Taipei Bank have all completed privately operated and established some large financial holding companies to expand their business one after another. Rallies the financial domain, the competition pressure in operation grows day by day. At present in order to coordinate the privately operated policy, Land Bank has changed into a limited company on July 1st, 2003. For privately operated we cross the first step, but there’re many problems we can’t solve: the decision-making of the released stocks as well as the compensation for the staffs’ rights and so on. All these problems combine to each other. We can only rely on the assistance of central government to make the privately operated work successful. This research first discusses the definition of State-owned Enterprise and the privately operation. By understanding the successful cases of the privately operated, the history and the business of Land Bank, we analysis Land Bank’s management condition, list the superiority and the inferiority and consider the opportunity and the threat from the external environment. Aiming at all the difficulties Land Bank will encounter while it’s privately operation, we draw up the best alternative. This research suggests that considering at the present competition, the merge tendency of the finance industry, the future development and the stock-selling, it’s the best way to merge with another company or to build a financial holding Company in order to protect rights of the staff, promote the competitive ability and avoid attacking the capital market. And the enterprise continues to be the private company to handle the cash to increase way and so on capital utilizes together. Proceeds in an orderly way to complete privately operated and achieve the three-win aspect between the government, Land Bank and the staff.
