Good corporate governance the system but there are no good ethics in leadership and management, can't reach the effectiveness that the company manage equally. It is insufficient that the company manages and implements only from the aspect of the system, it is unable to resume and set up sincerity to lack ethical strength. It is must since personal Ethics personal integrity come not doing foundation, could effective prevention leader or the emergence of disadvantages of operator. The tsmc and UMC company as research objects of this paper and two companies the ethics actual conditions are studied, as improving the morals of the company and important basis which the push company manage. Utilize the ethics to appraise to the morals gain and loss judging the company, and the practice situation which the corporate governance, to the leader separately and the organization. Make the morals and appraise, is it is it let company find out about itself pluses and minuses in ethics to come to appraise through the ethics, in order to the ethical foundation that good corporate governance as setting up.
