Multiple major embezzles in the major cooperation such as GM motor, Kuoyang and Taiwan pineapple group have been exploded after the crisis. However, Procomp Informatics Ltd (PIL) embezzle was one of the major strikes to both share market and the ministry of finance. On 15th of June 2004, the company stunningly announced that the company is struggling to repay the company bond and request for a company reform. The Taiwanese stock index, particularly the technology market falls sharply. Companies also have problem issuing shares or bonds. The investigation from the Financial Supervisory Commission (FSC) of Taiwan suggests that there are a lot of similarities between the Enron in America and PIL embezzle. Both cases show that the problem falls within its management system. Further investigation indicates that the financial auditing mechanism and the legislation did not perform as should be in the past decade. This article is going to discuss the problems arise after the PIL incidents, analyse the process leads to embezzle, and further discuss the management within the cooperation, legislation and policy to prevent future incidents, and how to increase the efficiency in cooperation management. Comparison of legislations from Japan, European countries and United States were made to help to provide the guide line and reference for the future establishment of legislation in Taiwan.
