The latest trend and comparison of the mergers and acquisitions models occurred among domestic financial institutions. 2. The study of the regulations in regard to hostile takeover among domestic financial institutions. 3. Case studies and analysis of domestic hostile takeover. 4. Regulations of foreign financial supervisory authorities, including leading countries, such as the USA, European Countries and Japan, in relation to hostile takeovers. 5. Suggestions on the issues of hostile takeovers among domestic financial institutions. The study utilizes methods of theoretical analysis, archive studies, information compilation and case investigation to proceed with case research on a systematic basis, further to review relevant domestic regulations, and finally proposes suggestions guidance for amendment. The framework of this Study is as below. Chapter 1 Introduction, Study Motives, Purposes and Methods Chapter 2 Relevant Theories and Archive Study Concerning the Mergers and Acquisitions among Financial Institutions Chapter 3 Introduction of the Legislation of Foreign Regulations regards to Hostile Takeover Chapter 4 The Current Regulations and Practice Concerning Mergers and Acquisitions among Domestic Banks Chapter 5 Research and Analysis on Issues of Hostile Takeovers among Domestic Financial Institutions Chapter 6 Conclusion summing up prior Chapters with suggestions in regard to Hostile Takeovers among Domestic Financial Institutions Conclusion of this study: The thesis focuses on the following four issues and takes foreign financial institutions’ relevant managerial regulations and latest development into consideration in order to adopt new concepts and legislation: 1. To consider both the fair competition of the market and the integrity of financial supervision equally; 2. To strengthen the power of shareholders’ meeting; 3. To impose the duty of information disclosure; and 4. To enhance the power and responsibility of the board of directors, supervisor and professional managers.
