If an enterprise wants to distribute his products or service by other enterprise, he can cooperate with a distributor or a sales agency. There are differences between a distribution agreement and a sales agency agreement in contract law and intellectual property law. If conducting a suit in some state, the court may apply different choice of law between an international distribution agreement and international sales agency agreement. The competition laws are applied both to a distribution agreement and sales agency agreement, but applied in different conditions. Enterprises should understand first the differenses mention above between the two kinds of agreements to choose the best way to distribute products or service by other enterprise.
