However, relative laws have adjusted and introduced appropriately by the change of the environment in Taiwan. For instance, TSEC and OTC declared that if the company want to IPO, they must to hire 2 Independent Directors and 1 Independent Supervisor. That law is effective from 2002.2.20. Therefore, The study is examined on the relationship between the characteristics of Boards of Directors and corporation performance. In addition, Transparency is the important factor in the corporation governance structure and references about Internationalize that apply for corporation governance were scantly, hence Transparency and Internationalize maybe moderate the relationship between Independent Directors/ Supervisor and corporation performance. The result revealed that there is the negative relationship between board size and corporation performance, there is the positive relationship between Independent Director ratio and corporation performance, there is the negative relationship but not significant between Independent Supervisor ratio and corporation performance. Transparency can strengthen the positive relationship between Independent Director ratio and corporation performance. Internationalize can’t effect the relationship between Independent Director ratio and corporation performance
