For most venture capitalists, limited partnership, which implies limited liability as the name depicts, becomes the preferred setup of investments. In April 2006, the Financial and Economic Affairs Committee of China submitted the Draft of the Amended Law on Partnership to the Standing Committee of the National People's Congress, where the Draft of the Amended Law of the People’s Republic of China on Partnership was finally adopted in the 23rd meeting of the 10th Congress after 3 careful reviews. The Amended Law has taken effect since June 1st, 2007. Coincidentally, Taiwan also passed its Draft of Law of the Limited Partnership on June 27th, 2007. Should the Law be adopted after 3 readings, limited partnership and limited liability partnership will become available for venture capitalists and management in addition to the existing options of corporation, sole proprietorship, and partnership. Management can opt for what caters to their needs best. This should help foster a more flexible and divergent business environment. From this point of view, the thesis will look into China’s Law on Partnership (the background and its evolution), comment on the amendments, compare the 2 systems across the Strait for similarities as well as differences, and propose her recommendations at the end.
