Based on three factors: agent theory, signal theory, and the characteristics of the company, hope that using the empirical method to do Logistic Regression Analysis. To agent theory, to investigate the proportion of the Board of Directors held, the company scale, or the ability of company funds are the factors to influence the establishment of an independent director of the companies. If signal theory is fired, the company''s operating performance－ after-tax net income and earnings per share, whether or not to influence the establishment of an independent director of the company''s factors. The company of other characteristics such as the kind of industry and age, whether or not to affect the company''s independent directors established factors.
The results showed that companies do not want to voluntarily set up more independent directors in the situation: the company cash flow from operating activities worse, or the poorer performance of the business performance, or the establishment of the period longer or the industry''s traditional industries. The greater the scale of companies do not to set the independent directors. The number of shareholding of the directors did not significant on the positive correlation to set independent directors.
