With the change of industrial environment, the raising of the competition of the international market; China had geographic proximity and low-cost advantages for Taiwan firms, transferred the investment and factories to China. The topic of about that had been attended from academic Field in recent years. Different from the past references. Literatures of dynamic capabilities always set large enterprises or the technology industry as a research object, and from organizational learning, knowledge management opinion. This study are the SMEs locating factories in China from Taiwan, and the traditional manufacturing industry is major focused in the study, research methods is qualitative method. Six cases had be chosen with semi-structural interviews in the study. Based on Dynamic Capability Theory (Teece et al, 1994, 1997), discussing the capability building and change of SEMs in the process, position and path. Also, researching the differences and characteristics are analyzed to some conclusion and suggestions. The findings of the study show that the great differences exist in the two modes when the companies coordinate with each other. For joint ventures and wholly owned, the structure of the dynamic capability of SEMs different distinctly.
