This study empirically tests Holderness''s monitoring hypothesis by examining the association between board composition, managerial ownership, external shareholder control, and the purchase of D&O insurance for all of the electronic firms which are listed on TWSEC, a total population of 356. The results barely partly support the monitoring hypothesis and this study contributes mainly to the field of corporate governance and D&O insurance by providing new evidence on the relationship between the purchase of D&O insurance and alternative mechanisms. Besides, this study also provide the insurers with some further insights on the demand for D&O insurance in Taiwan and even a more comprehensive analysis of the overall demand and supply factors affecting the D&O purchase decision.
