However, due to their failure to catch up with rapid changes in the global economic landscape and mismanagement, these subsidiary companies often suffer losses. These losses may not only tarnish the corporate image of the parent company, but is also drag on the parent company's profitability. In many cases the losses arise from non-performing loans or intellectual properties lawsuits. The purpose of this research is a case study on bad debts and patent infringement. Facing above two problems, the case company and her subsidiary companies do some of solutions. To first question “bad debts”, they setup a credit management institution, top managers’s authorization, and the ERP system of complete functions. To second question “patent infringement”, they increase the patent rights quality and quantity, bring a same suit against adversary, and setting the board meeting rules to protect and to prove the subsidiary company is independent. The study results are success to preventive bad debts and patent infringement lawsuits.
