碩士 === 銘傳大學 === 財務金融學系碩士在職專班 === 100 === This study focuses on the correlation between corporate governance, firms’ performance and financial decision. The study is based on data collected from the listed companies from the period of 2008 to 2010. This study uses multiple regression models for analysis. The result shows that the effect of corporate governance on firms’ performance varies according to different shareholding structures, board structures and characteristics of board member position. The finding shows that there is a significant negative correlation between the ratio of large shareholder and firms’ performance. A further study shows that the ratio of management shareholding has a significant negative correlation in electronics industry while there is a significant positive correlation in the traditional industry. Overall, there is a significant correlation between corporate governance, firms’ performance and financial decision, financing decision-making, and investment decision-making.
