This study aims to analyze the impact of board characteristics on firm performance,and add competitive strategy and environment munificence as moderators for the linkage between corporate governance and firm performance.
Based on the data of 437 panel data in Taiwan Iron and Steel industry during 2005~11, The results not only support the direct effects of corporate board on performance , but also find the moderating roles played by strategy choices and environment. And the result shows that whether rise the CEo stockholder degree depends on the development suitation of the sample companies. .Company make operation decision to improve performance in the highly developing industry environment.The empirical evidences suggest that the effects of corporate governance on performance or some other strategic behavior should be examined with a contingency view.
