碩士 === 國立高雄第一科技大學 === 財務管理研究所 === 101 === Based on a dataset of 162 Taiwanese electronics firms, this study investigates the effect of board characteristics on product diversification. The empirical results show that chairman duality, independent director ratio, board size and multiple board appointments are significantly and positively related to product diversification. Such findings are consistent with the arguments that chairman duality can establish corporate goals; a board with more independent directors is more effectively in monitoring managers; a larger board size facilitates access to resources; and multiple board appointments enable directors to provide better advice and counsel to managers. The results provide some evidence that board characteristics affect product diversification.
