博士 === 逢甲大學 === 商學博士學位學程 === 102 === Mergers and Acquisitions is an important way for modern enterprise to expand production scale, development new markets, channels, or new technology to increase value creation. M&;A activity, especially among multinational companies, has become the world&;#39;s investors and business groups, and even the government anticipated transactions. In fact, cross-border M&;A activity is a complex and dynamic process, because it involves interaction between law and society, corporate culture, corporate strategy and trade unions and other factors between the two countries. In this study, three-stage merger evolution, evolution of consciousness that pre-merger, merger of evolution, the evolution of consciousness after the merger of three acquisition phases, try to take advantage of living systems, the evolution of consciousness evolution and perspectives to explore the Asian high-tech companies (Sony) acquisition process of Ericsson mobile phone division. Find out the reason for this merger, to increase the understanding of the academic and practical evolution of the cross-border merger and acquisition behavior. This study found a similar living system; life is a series of components within the system constant interaction with the external environment variable. Sony Ericsson merger success factors in the full disclosure of information on both sides beforehand, especially when companies find acquisition targets, the future possibility of adaptation to the environment, survival the key process. Therefore, using a three-stage evolution to analyze mergers and acquisitions issues can increase understanding of the mergers and acquisitions.
