Such opinion is mainly adopted by civil courts in Taiwan. Yet such opinion is unequal to those subordinates. Legal persons and groups obtain most benefits through the hard works of their subordinates, but once the subordinates commit torts, legal persons and groups may claim for reimbursement against those subordinates. That makes those subordinates bear all civil liabilities, which are disproportionate. The goal of this thesis is to construct the theory of independent torts of legal persons and groups.
