Although this cooperation form is mainly aimed at calling for investment resources from private sector, State -owned enterprises are still allowed to participate by forming a Joint venture with other private enterprises, or joining independently. This study is aimed at elucidating pivotal factors affecting the cooperation with State – owned enterprises in PPP transportation projects in Viet Nam. Firstly, three PPP projects are analysed by interviewing to get specific advantages, issues, and critical factors when cooperating with State –owned enterprises. Subsequently, a questionnaire survey is conducted to evaluate the overall satisfaction of respondents from private enterprises about the joint cooperation, and assess the influences of advantages, issues, and critical factors. The results indicate that good connections between SOEs and State agencies is a vital advantage which may be beneficial for the cooperation. However, there are still issues from State – owned enterprises which may affect negatively, especially the favors with contractors which are also State-owned enterprises, and the influence of State agencies. Moreover, three leading represented factor variables which make the joint cooperation reach good outcomes are also clarified in the study including the variable related to financial capacity, State support and the factor variable related to management capability.
