The sample of this research use S&P 100, period from 2003 to 2012, and add CFO sample as comparison. Empirical results show that: First, ACQ score have significantly negative impacts on CEO and CFO compensation, this may result from higher ACQ means higher quality of financial reporting and monitoring power, so that CEO and CFO are hard to get good compensation. Second, audit fees have significantly positive impacts on CEO and CFO compensation, because of more complexity of accounting and auditing duties, so that firms are likely to pay higher compensation for CEO and CFO as rewards. However, audit fees have significantly negative impacts on CEO and CFO perquisites, because of extreme value. Third, financial restatement have relationship with ACQ and audit fees, but do not have significant impacts on CEO and CFO compensation and perquisites directly.
